Media Upload Agreement - By checking the box, I confirm that I am authorized to submit this Content on behalf of the Business and to grant the rights and license described in Section 7 (License Granted to Activity Lookup) of the Terms of Use on the Business's behalf. I confirm that I own or have obtained all necessary rights, licenses, and permissions to submit all photographs, logos, videos, and other materials included with this submission (collectively, the "Content"), and that the submission of the Content and Activity Lookup's exercise of the rights and license granted under Section 7 (License Granted to Activity Lookup) of the Terms of Use do not infringe any copyright, trademark, privacy, publicity, or other rights of any third party. I confirm that I am solely responsible for ensuring that the Content complies with all applicable laws and regulations. I confirm that I have obtained any necessary consent from individuals appearing in the Content, including parental or legal guardian consent where the Content depicts a minor. I grant Activity Lookup the rights and license described in Section 7 (License Granted to Activity Lookup) of the Terms of Use with respect to the Content. I understand that such license includes, without limitation, the rights described in Section 7 and authorizes Activity Lookup to use the Content in accordance with the Terms of Use and Privacy Policy, without compensation, royalties, license fees, or other payment. I understand that Activity Lookup may, but is not obligated to, review the Content, and that such review does not constitute verification, endorsement, or confirmation of the Content's ownership, legality, or accuracy. Activity Lookup exercises editorial discretion regarding the selection, presentation, placement, replacement, and removal of the Content, and reserves the right to remove, edit, decline to publish, or disable access to the Content at its sole discretion, without prior notice, including where such Content violates the Terms of Use or applicable law. I agree to indemnify, defend, and hold harmless Activity Lookup, its owners, employees, contractors, agents, and representatives from and against any and all claims, demands, damages, losses, liabilities, judgments, settlements, costs, expenses, and reasonable attorneys' fees arising out of or relating to the Content I submit, my breach of these representations (including my authority to act on behalf of the Business), or any violation of applicable law or the rights of any third party.
